(Bloomberg) -- Petroliam Nasional Bhd (Petronas) will take full ownership of its Pengerang refining and petrochemical joint venture after acquiring Saudi Aramco’s 50% interest, ending an eight-year partnership between the two state-owned energy giants in Malaysia.
The transaction will see PRefChem, a venture with a refinery capacity of 300,000 barrels per day, become a wholly-owned subsidiary of Petronas. "The transaction was concluded on mutually agreed terms reflecting their evolving strategic priorities," the companies said in a joint statement.
While financial terms of the current deal were not disclosed, Aramco originally invested about $7 billion in 2017 for its half of the venture. The acquisition covers Aramco's equity in Pengerang Refining Company Sdn Bhd and Pengerang Petrochemical Company Sdn Bhd. Existing crude supply arrangements, where Aramco provides up to 70% of the refinery's feedstock, will remain unaffected.
For Petronas, the move strengthens its ability to support Malaysia’s long-term energy security and provides greater operational flexibility across the integrated value chain. For Aramco, the divestment is part of a continuous effort to optimize its downstream portfolio and reallocate capital toward other long-term strategic investments.
Strategic Shifts for State-Owned Giants
The consolidation gives Petronas full control over a critical domestic asset, the Pengerang Integrated Complex (PIC) in Johor, which is a key component of Malaysia's energy infrastructure. The company stated that full ownership would improve operational alignment and allow it to better navigate volatile global energy markets by leveraging its international supply network.
Meanwhile, the sale aligns with Saudi Aramco's global strategy of recalibrating its downstream assets. The Saudi firm has been actively reviewing its portfolio to create flexibility and focus on investments that align with its long-term downstream goals, which include integrated refining and petrochemical operations in high-growth markets. Despite the ownership change, both companies said they would continue to explore future collaborations, including technology exchange and integrated product distribution.
Pengerang's Scale and Output
The PRefChem complex is a significant downstream facility in Southeast Asia. Its refinery has the capacity to process 300,000 barrels of crude oil per day, producing Euro 5-compliant fuels like gasoline and diesel.
The integrated petrochemical facilities have a production capacity of approximately 3.3 million tonnes per year, manufacturing products such as polyethylene and polypropylene. This integration allows the complex to convert crude oil into a wide range of value-added products, serving both domestic and export markets.
